Pre-Order Terms and Conditions

Please read all of these Pre-Order Terms and Conditions carefully before submitting your pre-order for a Roader Camera (the “Product”). By submitting your pre-order, you agree to be legally bound by these Pre-Order Terms and Conditions.

Also, the Roader Warranty Policy applies, which are now incorporated by reference, including the following provisions:
- The Product is covered by a limited warranty, as specified in our Warranty Policies.
- Roader Media BV has limited liability.
- When Roader hands the Product for delivery on to the carrier, risk of loss of the Product passes on to you.
- In cases there are any export controls, you agree to comply.
- You are responsible for paying for all applicable import duties, taxes, sales taxes (VAT) and other charges. For orders placed by and delivered to customers inside the European Union, sales tax (VAT) is included in the pre-order price and handled by Roader Media BV.
- Use of the Product requires the use of the Service (as defined in the Terms and Conditions) and compliance with the Terms and Conditions and Privacy Policy. In case you do not have access to the Service, Roader is not liable for your inability to use the Product.
- You indemnify Roader for claims arising from your use of the Product
- Roader reserves all rights and ownership in all Roader intellectual property and related rights.
Each pre-order you submit for a Product creates an order to purchase that Product. Pre-orders are completed when you provide your shipping address to us and payment is approved by our Payment Provider Stripe. Pre-orders are subject to Roader Media BV acceptance and may be rejected for any reason at any time at Roader Media BV discretion. If Roader Media BV rejects your offer, Roader will refund the amount you paid as within 14 days.
Roader Media BV will send you a confirmation email to the email address provided by you when Products are ready for shipment. In case your pre-order was rejected, you will receive a notification by email. If you have a question, a comment, or concern regarding the Roader Media BV pre-order acceptance policy, or if you believe that your pre-order was rejected in error, please contact Roader Media BV at support@roader.com.
2. Eligibility.
You must be at least 18 years of age to pre-order a Product. By agreeing to these Purchase Offer Terms, you represent and warrant to us that you are at least 18 years old. If you are pre-ordering a Product on behalf of a company, entity or organization, you represent and warrant that you have the authority to bind that organization to these Pre-Order Terms and Conditions and you agree to be bound by these Pre-Order Terms and Conditions on behalf of that organization.
3.Payment.
For your pre-order to be eligible for Roader Media BV acceptance, payment of the amount for the Product elected by you must be made as set forth on the Roader Media BV website roader.com by credit card through Stripe, or any other payment method designated on our website. Payment does not guarantee acceptance of your pre-order.
4.Shipping and Delay.
You are pre-ordering a product that will be produced for you in the future. Any shipping date is indicative only, and the actual date for shipping for any accepted pre-order will depend on factors including manufacturing schedule, and the date of your pre-order, your completed pre-order, received payment and our acceptance of your completed pre-order. Shipping date is subject to change without notice to you. Shipping charges for each country are listed on our website, and you must pay all shipping charges for the location of the address you provide. You agree to all tariff, import, customs, tax, and other fees applicable in your jurisdiction. If shipping costs to the address that you provide for an accepted pre-order are higher than the shipping costs you paid at the time that you offered to purchase a Product, Roader may, in its sole discretion, require you to pay additional shipping fees or cancel the pre-order and refund the full amount you paid.
5.Force Majeure.
If Roader Media BV accepts your pre-order for a Product, Roader Media BV will not be liable to you for any delay. Delays may include any delay due to an event beyond Roader Media BV reasonable control, such as an act terrorism, war, political insurgence, insurrection, riot, civil unrest, act of civil unrest or military authority, uprising, earthquake, flood or any other natural or man-made eventuality outside of Roader Media BV control.
6. Privacy.
We describe all policies related to our collection and use of data in our Privacy Policy https://roader.com/pages/privacy-policy , which is incorporated by reference. If you do not agree with the Privacy Policy, you may cancel your pre-order and request a refund before we have sent you a shipping confirmation. If you have any questions or concerns regarding your privacy, please contact us.
7. Modification of these Pre-Order Terms and Conditions.
We reserve the right, at our discretion, to change these Pre-Order Terms and Conditions on a going-forward basis at any time. Please check these Pre-Order Terms and Conditions periodically for changes. If a change to these Pre-Order Terms and Conditions materially modifies your rights or obligations, you will be required to accept the modified Pre-Order Terms and Conditions in order for your pre-order to remain valid. Material modifications are effective upon your acceptance of the modified Pre-Order Terms and Conditions. Immaterial modifications are effective upon publication. Disputes arising under these Pre-Order Terms and Conditions will be resolved by the version of these Pre-Order Terms and Conditions that were in effect at the time the dispute arose.
8. Controlling Law and Severability.
These Pre-Order Terms and Conditions will be governed by and construed by the laws of the Netherlands without regard to conflict of law principles. You and Roader agree to submit to the personal and exclusive jurisdiction of the courts located within Amsterdam, The Netherlands for the resolution of any lawsuit or court proceeding permitted under these Terms.
9.General.
These Pre-Order Terms and Conditions, together with the Terms and Conditions, Privacy Policy, Warranty and any other agreements expressly incorporated by reference into these Pre-Order Terms and Conditions, are the entire and exclusive understanding and agreement between you and Roader Media BV regarding your pre-order of a Product and the other matters described in these Pre-Order Terms and Conditions. These Pre-Order Terms and Conditions may be amended only by a written agreement signed by authorized representatives of the parties to these Pre-Order Terms and Conditions. You may not assign or transfer these Purchase Offer Terms or your rights under these Pre-Order Terms and Conditions, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign these Pre-Order Terms and Conditions at any time without notice or consent. Use of section headers in these Pre-Order Terms and Conditions is for convenience only and will not have any impact on the interpretation of any provision. Upon termination of these Pre-Order Terms and Conditions, any provision that by its nature or express terms should survive, will survive, including Sections 1 to 9.
